Terms of Service

These Terms of Service ("Terms") govern your use of themefox.com (the "Site") and the purchase or use of themefox digital products (including Shopify themes such as Fennec) and related services (together, the "Services"). By accessing the Site or purchasing/using the Services, you agree to these Terms.

If you do not agree, do not use the Site or Services.

1. About themefox

2. Definitions

  • Theme: a Shopify theme, theme files, design assets, documentation, and any updates supplied by themefox
  • Digital Content: digital items you purchase/download, including Themes
  • You / Customer: the person or business using the Site or Services
  • Shopify: Shopify Inc. and its affiliates. Shopify is a third-party platform. themefox is not Shopify

3. Eligibility and accounts

You must be at least 18 years old (or have authority to bind a business) to purchase from themefox. You are responsible for keeping any account credentials secure and for all activity under your account.

4. Orders, pricing, and payment

Pricing is shown at checkout (including any taxes where applicable).

Payment must be completed before access to paid Digital Content is granted.

We may refuse or cancel an order where we reasonably suspect fraud, unauthorised payment, or breach of these Terms (in which case we'll refund amounts paid for the cancelled order).

5. Digital delivery

Themes and other Digital Content are provided by download and/or access instructions after purchase (or via the relevant delivery method described at checkout).

You are responsible for:

  • ensuring you have compatible software/accounts (e.g., a Shopify store)
  • backing up your store/theme before changes
  • testing changes in a safe environment where possible

6. Licence to use Themes (single store)

Unless we explicitly state otherwise in writing, each Theme purchase grants you a licence for use on one (1) Shopify store. You may customise the Theme for that store, but you must not share, resell, redistribute, or publish the Theme files (or derivatives) in a way that allows third parties to use or obtain the Theme. This aligns with Shopify's theme licensing model (single-store use).

Prohibited uses

You must not:

  • resell, sublicense, distribute, or "theme-bundle" our Theme/Digital Content
  • post Theme files in public repos, forums, marketplaces, or file-sharing services
  • use automated tooling to extract/clone our Theme for redistribution
  • remove or obscure copyright or licence notices

If we discover unauthorised distribution or use, we may suspend support, revoke access to updates, and require you to stop using the Theme. (This does not affect any statutory rights you may have as a consumer.)

7. Updates and compatibility

We may release updates to improve compatibility, performance, security, or features. Shopify frequently changes platform behaviour; we cannot guarantee uninterrupted compatibility with every third-party app, script, or customisation.

Where updates are provided, you are responsible for applying them and resolving any conflicts with your custom code or third-party apps.

8. Support

We offer support as described on our Site (or order confirmation). Support typically covers:

  • Theme installation guidance
  • bugs or issues reproducible in an unmodified theme environment
  • clarification on built-in Theme settings/features

Support typically does not include:

  • bespoke development beyond basic guidance
  • debugging third-party apps/scripts
  • debugging heavily customised codebases

If you need custom work, we may offer it as a separate paid service.

9. Custom development / services (if purchased)

If you purchase customisation or development services from themefox:

  • scope, timelines, and deliverables will be agreed in writing (email or statement of work)
  • you'll provide timely access, requirements, and approvals
  • changes beyond agreed scope may require additional fees/time

10. Acceptable use of the Site

You agree not to:

  • interfere with the Site's operation (e.g., scraping, probing, DDoS)
  • attempt unauthorised access to accounts/systems
  • upload malware or harmful code
  • misuse contact forms/support channels (spam, harassment)

We may restrict access to protect the Site, our customers, and our systems.

11. Intellectual property

The Site, Themes, and all related materials are owned by themefox or its licensors and protected by intellectual property laws. You receive a licence to use purchased Themes as set out in these Terms; you do not receive ownership of the Theme IP.

Shopify and related marks are trademarks of their respective owners.

12. Your content and store data

If you send us content (e.g., screenshots, store URLs, logs) for support, you grant us a limited right to use it solely to provide support/services to you. You confirm you have rights to share that content.

13. Consumer rights (UK)

If you are a UK consumer, UK consumer law applies in addition to these Terms.

Digital content quality

Digital Content must be as described, fit for purpose, and of satisfactory quality. If Digital Content is faulty or doesn't conform, you may be entitled to remedies under the Consumer Rights Act 2015 (for digital content).

Cancellation (cooling-off) for digital downloads

For online/distance sales, consumers commonly have a 14-day cancellation right. However, for digital downloads, once the download/performance has started, you can lose the right to cancel if you were informed and gave explicit acknowledgement/consent.

To reflect this:

If we provide immediate access/download, we will ask you to consent to immediate supply and acknowledge you'll lose the cancellation right once supply begins (where applicable).

14. Refunds

Refund handling depends on what you bought and how it was delivered, and will always respect your statutory rights.

Because Themes are digital products, refunds may be limited once access/download has begun (subject to the consumer rules above).

If you believe Digital Content is faulty or misdescribed, contact support@themefox.com with details and evidence so we can investigate.

15. Disclaimers

The Site and Services are provided on an "as available" basis. While we aim for high quality, we do not guarantee the Site will be uninterrupted or error-free, or that Themes will be compatible with every app/customisation.

Nothing in these Terms limits rights that cannot be excluded under applicable law.

16. Limitation of liability (UK)

Nothing in these Terms excludes or limits liability for:

  • death or personal injury caused by negligence
  • fraud or fraudulent misrepresentation
  • or any liability that cannot be excluded under law

Subject to the above, to the maximum extent permitted by law, themefox will not be liable for:

  • indirect or consequential losses
  • loss of profits, revenue, goodwill, or business opportunity
  • issues caused by third-party apps/services, Shopify platform changes, or your modifications

Where we are liable to you, our total liability for claims relating to a purchase will not exceed the amount you paid for the relevant Digital Content/service (unless a higher liability cap is required by law).

17. Indemnity (business users)

If you use the Services as a business, you agree to indemnify themefox against losses arising from your breach of these Terms or misuse of the Services (including unlawful distribution of Themes).

18. Termination

We may suspend or terminate access to the Site/Services if you materially breach these Terms (including licence misuse). Sections intended to survive (IP, liability, governing law, etc.) will survive termination.

19. Changes to these Terms

We may update these Terms from time to time. The "Last updated" date will change when updates are posted. Continued use after changes means you accept the updated Terms.

20. Governing law and jurisdiction (UK)

These Terms are governed by the laws of England and Wales. If you are a consumer, you may also have the right to bring claims in the courts of your place of residence in the UK.
